Legal and GRC teams understand regulatory text, implementation timelines, and documentation requirements with a precision that other approaches cannot match.

Core weakness: Board AI literacy (2.0/5.0) and organizational integration (2.0/5.0). Compliance reports tell the board what the rules are. They do not equip directors to evaluate AI strategy, challenge management’s AI investment proposals, or understand the competitive implications of AI adoption decisions.

2. Technology-Delegated Governance

When Each Approach Fits Best

Choose Compliance-First Governance When:

Regulatory enforcement is imminent and the board needs documented compliance fast. If your organization is deploying high-risk AI systems and the August 2026 compliance deadline is the immediate concern, a compliance-first approach can produce the required documentation, risk assessments, and audit trails within a defined timeline. Triage has value when the deadline is real.

The organization operates in a sector with compounding AI regulatory requirements. Financial services firms subject to EBA and ESMA AI guidelines, healthcare organizations subject to MDR requirements for AI-enabled medical devices, and pharmaceutical companies handling AI in clinical development face sector-specific regulatory obligations that compound the EU AI Act’s general requirements. The board has already developed AI literacy through other means. If your directors have received AI governance education — through board development programs, industry associations, or individual expertise — the compliance approach’s weakness on board literacy is less relevant. If your CTO has this profile — demonstrated through prior governance experience or a track record of building governance frameworks — delegation can work. The critical question is whether the CTO’s governance capability extends beyond technical systems to organizational oversight.

AI deployment is limited and low-risk. If your organization uses AI in limited, low-risk applications (internal analytics, process automation, recommendation engines for non-critical decisions), the governance requirements are proportionately lighter. A CTO providing periodic updates may be sufficient until AI adoption reaches a scale that demands more structured oversight. The board is actively engaged despite the delegation. Technology-delegated governance fails when the board is passive. Choose Advisory-Led Governance When:

EU AI Act compliance must be integrated with broader governance. If the board wants governance that satisfies regulatory requirements and provides strategic oversight and builds organizational capability, the advisory-led approach integrates these objectives into a single framework. The compliance-first approach treats them as separate workstreams.

The board wants to be self-sufficient within 12-18 months. Advisory-led governance is designed as a bridge to board independence. If the board’s objective is to develop internal governance capability that functions without external advisory support, the knowledge transfer design of the advisory model serves that objective. Define self-sufficiency milestones at the engagement outset. Hold the advisor accountable for achieving them.

Choose Ad-Hoc Governance When:

The organization does not use AI and has no plans to adopt it. If AI is not part of the organization’s current operations or strategy, structured AI governance is premature. No other scenario justifies this approach.

For any board at an organization that uses, plans to use, or competes against organizations that use AI, the ad-hoc approach is a liability. Putting It Together: A Decision Process for Boards

Step 1: Assess Current State

Before selecting a governance approach, the board should establish its current position. Three questions matter:
